Bylaws of the NNL Western Nationals organization

Mission

NNL Western Nationals is a non-profit organization that seeks to encourage participation in the model car building hobby. Through the construction of scale model vehicles and by the distribution of related materials, our goal is to interest people in participation in the hobby as well as in automobiles in general.

Objectives

The mission of NNL Western Nationals will be accomplished via our official website, sponsorship of local model clubs and by an annual model car show. To encourage participation of young people NNL Western Nationals, (where juniors are always admitted free of charge), will host a "Make ‘n Take" activity at the annual show, where model kits will be given away for young people to build and take with them. There are special prizes given to junior modelers to encourage further participation of this group. Award announcements and pictures of winning models are published on our website and in national model car magazines. Photographers from national model car magazines and automobile clubs accept invitations to the annual model car show and assist in getting our message out. Along with our displays of model cars, NNL Western Nationals also runs seminars at the annual model show designed to encourage better construction of model cars. Videos of these seminars are available, in the near future, for free at our website.

Background and History

NNL Western Nationals has more than 20 years of history as an organization. Started in 1985 by founder Roy Sorenson and Kevin Drake, the first NNL Western Nationals show was held at the Hayward (CA) Community Center in January 1985. The modeling community enthusiastically received this first show and the annual show became a draw for some of the best modelers in the country. Photo coverage of these shows is annually featured in several national modeling magazines such as Plastic Fanatic, Scale Auto and Model Cars. In an effort to preserve the history of the show and to become a resource to the hobby, the official web site www.nnlwest.org was established in 2002. In addition to photos of models entered in the show this web site also provides a history of the event as well as informative how-to articles. Since the number of people attending the show has grown from 80 at it’s inception to over 500 today, the organization has been successful in encouraging participation in the hobby. During the year NNL Western Nationals committee members also do seminars and "Make 'n Takes" at the local custom car shows and auto museums such as the world famous Black Hawk Auto Museum in near by Black Hawk (CA).

Revenues generated by the NNL Western Nationals are modest. The total source of revenue is the annual show and consists of three (3) elements:

  1. The sale of table space to vendors attending the show.
  2. Entrance fees charged to the General Public for admission to the show.
  3. The sale of Raffle tickets for donated door prizes.

All profits, if any, are earmarked for improving the next year’s event, with the exception of a percentage of the entrance fees donated to the National Model Car Builders Museum. The Museum is a non-profit organization dedicated to preserving the history of model car building.

None of the officers of the NNL Western Nationals are compensated for their involvement, as participation is purely voluntary.

 

Membership

The NNL Western Nationals committee shall consist of the following elected officers:

Stage Manager

Committee officers shall hold the term for a period of one year. The current committee will make the final decision. There is no limit on the number of terms an officer may serve.

Member Responsibilities:

President — the President shall prepare the schedule, location and agenda for the meetings and shall ensure the timely flow of these minutes such that suitable minutes may be taken by the secretary. In the event that the secretary is not present the President shall identify an officer to take minutes. The President shall ensure that all action items are addressed and may appoint further committee officers as deemed necessary. The President shall maintain open channels of communication with all officers. The President shall ensure that annual elections are held in accordance with these bylaws. The President will act as show coordinator.

Secretary — the Secretary shall prepare and distribute the meeting minutes, and notify the officers of meetings as per the President’s schedule. The Secretary shall maintain the current list of officers. The Secretary shall transmit proposed amendments to the bylaws in writing to each officer two weeks prior to the meeting at which they are to be voted on.

Treasurer — the Treasurer shall maintain and keep current the financial records of NNL Western Nationals. All received monies and bills paid shall be kept in accordance with current accounting practices. Operational expenses, gifts and donations will be recorded.

Commercial Relations — the Commercial Relations officer will handle all relations with vendors for the trade show which is a part of the annual model show. The Commercial Relations officer will be responsible for sending out and receiving contracts for the Convention Center where the model show will be held. He will receive monies for table sales and take care of advertising of the event in model car magazines and newspapers.

Public Relations — the Public Relations officer will be responsible for all advertising about NNL Western Nationals sponsored events. He will also be responsible for maintaining the official website www.nnlwest.org. All changes to information posted at this site are the responsibility of the Public Relations officer.

Business Development — the Business Development officer will be responsible for all matters that relate to maintaining the non-profit status of the NNL Western Nationals organization. This includes, but is not limited to, getting an approved application for 501(c)(3) status and securing the services of an accountant with experience in not-for-profit organizations.

Stage Manager — the Stage Manager is responsible for all stage-related activities during the annual model show. This includes, but is not limited to, PA announcements, DJ activities, raffle ticket drawings, door prizes, etc. The stage manager is also responsible for the coordination of vendor parking and loading/unloading on the day of the show.

Liabilities of Members

No officer of the NNL Western Nationals committee shall be personally liable to creditors for any indebtedness of liability. Any and all creditors shall look only to the assets of NNL Western Nationals for payment.

Meetings

Meetings will be held semi-monthly, usually on the 3rd Saturday of every other month from 12-2pm at the Round Table Pizza on Bascom Ave in San Jose. The secretary will be responsible for sending out meeting reminders.

Quorum

The presence of the President and at least two other committee members shall constitute a quorum necessary for the transaction of business.

Minutes

Minutes shall be kept and transcribed by the secretary. The minutes shall include a list of attendees, summaries of all transactions taken, and a list of action items. In order to maintain proper flow of activities, minutes of the prior meeting will be sent to all members in a timely fashion, preferably one week prior to a meeting.

Amendment of Bylaws

These bylaws may be amended at any regular meeting of the committee by an affirmative vote of a simple majority of the current committee. Proposed amendments to the bylaws will be sent in writing to each member two weeks prior to the meeting at which they are to be voted upon.

These revised bylaws and all subsequent amendments shall be effective at the close of the meeting at which they are adopted.
